These Terms & Conditions govern the Proof of Concept (POC) provided by MBS Tech. By engaging in the POC, both parties agree to the following terms:
The POC is designed to assess the feasibility and effectiveness of MBS Tech’s solutions within an agreed scope and timeframe.
Deliverables, success criteria, and evaluation metrics will be defined before the POC begins.
The POC will run for a predetermined period, subject to extension by mutual agreement.
Any modifications to scope or duration may involve additional terms and costs.
Both parties agree to handle all shared information with strict confidentiality.
Any proprietary data, models, or findings during the POC remain the intellectual property of their respective owners.
MBS Tech ensures compliance with data security and privacy regulations.
The POC may be conducted on a complimentary or cost-sharing basis as agreed upon in advance.
MBS Tech shall not be liable for any indirect or consequential damages arising from the POC.
The client must provide the necessary access, infrastructure, and collaboration required for the POC’s execution.
Any third-party tools or integrations required will be discussed and arranged accordingly.
Participation in the POC does not constitute a commitment to enter into a full-scale commercial agreement.
Upon successful completion, both parties may negotiate terms for a broader implementation.
Either party may terminate the POC with prior written notice if objectives cannot be met or due to unforeseen challenges.
Upon termination, access to all systems, data, and proprietary materials must be revoked or returned as per agreement.
